PEEKSOUND TERMS OF SERVICE

Welcome to PeekSound.com, a service provided by MusicHostNetwork LLC d/b/a PeekSound (“PEEKSOUND,” “we,” “our,” or “us”). These Terms of Service (“Terms”) are a binding legal agreement between you (“you” or “User”) and PEEKSOUND governing your use of our music and video distribution, promotional tools, marketplace, and any related platforms (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms, including the MANDATORY ARBITRATION AND CLASS ACTION WAIVER in Section 18. If you do not agree, do not use the Services.

1. ELIGIBILITY & ACCOUNT CREATION
You must be at least 18 years old and have the legal capacity to enter into these Terms. If you are under 18, your parent or legal guardian must review and accept these Terms on your behalf.

To use certain features, you must register an account and provide accurate, current, and complete information. You are responsible for all activity under your account. You must protect your password and notify us immediately of any unauthorized use.

2. SERVICES & LICENSE
PEEKSOUND offers music and video distribution, marketing tools, and other services to artists and labels. When you upload or submit content (“User Content”), you grant us an exclusive, worldwide, royalty-free license to distribute, promote, and monetize it through DSPs.

You retain ownership of your content but agree to let us use your name, image, and likeness for promotional purposes. You are responsible for ensuring you own or have rights to your submitted content.

3. MEMBERSHIP & FEES
To use our distribution services:

  • Artists pay a yearly fee of $99.99.

  • Labels pay a yearly fee of $399.99.

Membership renews annually. Failure to pay will result in termination of your account and takedown of all distributed content. Fees are non-refundable.

3.1 FREE LIFETIME MEMBERSHIP OFFERS
From time to time, PEEKSOUND may offer Free Lifetime Memberships to select users as part of special promotions, user goodwill gestures, or relaunch campaigns (“Lifetime Members”). These Lifetime Memberships are non-transferable, non-saleable, and may not be redeemed for cash or any other benefit.

Lifetime Membership provides the user with free access to the Services for the life of the platform under current ownership and operation. PEEKSOUND reserves the right to modify or terminate the Lifetime Membership program at its sole discretion upon ninety (90) days’ notice, or immediately in the event of abuse, misuse, or material breach of these Terms.

Users who receive Lifetime Membership are still subject to all other Terms herein, including royalty, content, and conduct requirements. Any suspected violation of these Terms may result in suspension or revocation of Lifetime Membership without notice.

4. ROYALTIES & PAYMENTS
PEEKSOUND collects royalties from DSPs and pays 90% of net income to Users. PEEKSOUND retains 10%. Payments are made quarterly for balances over $25. Payments over $250 are subject to a $10 processing fee.

If fraud or artificial streaming is suspected, PEEKSOUND may withhold royalties and terminate your account. Fraud includes, but is not limited to, bots, stream manipulation, or unauthorized uploads.

5. CONTENT STANDARDS & REJECTION RIGHTS
We may reject any content that violates our standards, DSP guidelines, or legal requirements. We reserve the right to refuse, remove, or modify any submission at our sole discretion.

6. UPC & ISRC CODES
We will provide UPC and ISRC codes for your distributed content. These codes are not transferable or resalable.

7. INTELLECTUAL PROPERTY
You represent and warrant that your content does not infringe on third-party rights. You will indemnify and hold harmless PEEKSOUND from any claims related to your content, including legal fees.

8. PROHIBITED CONDUCT
You agree not to:

  • Submit unlawful, defamatory, or harmful content;

  • Use bots or scripts to inflate streams or stats;

  • Misrepresent ownership or violate copyrights;

  • Share login credentials or impersonate others;

  • Attempt to hack, disrupt, or reverse engineer our systems.

Violations may lead to suspension, termination, and forfeiture of royalties.

9. PRIVACY POLICY
Our Privacy Policy explains how we collect and use personal data. By using the Services, you consent to our privacy practices.

10. THIRD-PARTY LINKS
Our Services may link to third-party sites. We are not responsible for their content or practices. Use them at your own risk.

11. TERMINATION
We may suspend or terminate your account if you breach these Terms or engage in fraudulent or abusive activity. You may terminate your account at any time by stopping use of the Services.

12. DISCLAIMERS
Services are provided “as is” without warranties. We do not guarantee uninterrupted or error-free access, or that content will meet your expectations.

13. LIMITATION OF LIABILITY
PEEKSOUND’s liability is limited to the greater of $100 or the amount you paid us in the past 12 months. We are not liable for indirect, incidental, or consequential damages.

14. INDEMNIFICATION
You agree to indemnify and hold harmless PEEKSOUND and its affiliates from claims arising from your use of the Services, User Content, or violation of these Terms.

15. EXPORT COMPLIANCE
You agree not to use or export the Services in violation of U.S. export laws and regulations.

16. GOVERNING LAW
These Terms are governed by the laws of the State of Texas. Legal disputes must be filed in El Paso County, Texas, within one year of the claim.

17. CONTESTS & PROMOTIONS
You agree to follow the official rules of any PEEKSOUND-run contests or promotions.

18. MANDATORY ARBITRATION & CLASS ACTION WAIVER
You agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services through final and binding arbitration administered by JAMS in accordance with its Comprehensive Arbitration Rules.

YOU UNDERSTAND THAT BY AGREEING TO ARBITRATION, YOU ARE WAIVING YOUR RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.

You further agree that any arbitration or legal proceeding shall be conducted only on an individual basis and not in a class, consolidated, or representative action. You expressly waive any right to bring or participate in a class action.

You may opt out of arbitration only by sending written notice within thirty (30) days of your first acceptance of these Terms to: legal@peeksound.com.

This section survives termination of your use of the Services.

19. CHANGES TO TERMS
We may update these Terms from time to time. We will notify you where required by law. Continued use of the Services constitutes acceptance of updated Terms.

21. SURVIVAL
Provisions that by their nature should survive termination of these Terms shall survive, including but not limited to ownership provisions, indemnity, disclaimers, limitations of liability, and the arbitration and class action waiver provisions.

22. SEVERABILITY
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be severed from these Terms and shall not affect the validity and enforceability of the remaining provisions.

23. ENTIRE AGREEMENT
These Terms, along with our Privacy Policy and any other legal notices published by PEEKSOUND, constitute the entire agreement between you and us concerning the Services and supersede any prior or contemporaneous communications.
